TERMS AND CONDITIONS

Effective Date: October 11, 2022

BY ACCESSING OR USING THE SITE, YOU AGREE TO BE LEGALLY BOUND AND TO ABIDE BY THIS TERMS OF USE AGREEMENT (these “Terms”).

  1. Introduction

Phirst Klass Fulfillment Lab operates a website, http://phirstklassfulfillmentlab.com through which its ecommerce business clients may manage their inventory stored and shipped by Phirst Klass Fulfillment Lab (the “Site”).

Except where otherwise expressly indicated herein, the terms “you” and “your” as used in these Terms shall mean both the natural person who accesses or uses the Site and the named entity on whose behalf such individual creates an account on the Site (such named entity referred to herein as a “Customer”). As used in these Terms, (i) the terms “Phirst Klass Fulfillment Lab,” “we”, and “us” refer to Phirst Klass Fulfillment Lab Corp., a Florida corporation; and (ii) you, Customer, and Phirst Klass Fulfillment Lab are each a “party” and are collectively referred to herein as the “parties”.

These Terms are written in the English language. We do not guarantee the accuracy of any translated versions of these Terms. To the extent any translated versions of these Terms conflict with the English language version, the English language version shall control.

  1. Agreement

Your rights to access and use the Site are subject to the provisions of these Terms.

You acknowledge and agree that your use of the Site may be further subject to the terms of additional agreements with Phirst Klass Fulfillment Lab (“Other Agreements”). Your use of this Site is further conditioned upon your continued compliance with such Other Agreement(s). If you should, after any applicable grace period, breach or be in default under the terms of any Other Agreement, Phirst Klass Fulfillment Lab may deem such breach or default as an event of default under these Terms.

  1. Use of Site
  2. Account Creation. In order to be authorized to manage Customer inventory through the Site, you must maintain an active User account on the Site and keep all account information current. BY CREATING AN ACCOUNT ON THE SITE, YOU REPRESENT THAT YOU HAVE THE AUTHORITY TO BIND THE NAMED CUSTOMER TO THIS AGREEMENT.
  3. Users. As used in this Agreement, the term “you” or “User” means any natural person who uses the Site on Customer’s behalf (e.g. a Customer officer, director, agent, or employee) or through Customer’s account(s) or passwords, whether authorized or not. Customer is responsible and liable for its Users’ use of the Site, including without limitation unauthorized User conduct and any User conduct that would violate Site policies.
  4. Use; Registration.  You agree that the intended use of this site is to facilitate the management and shipping of Customer’s inventory as stored and shipped by Phirst Klass Fulfilment Lab and to communicate with us in regard to same. You agree that your use of the Site is solely for commercial use on behalf of Customer and not for personal consumer purposes. Certain portions of the Site, as designated by us, may only be accessed or used by persons or entities who agree to be bound by these Terms. You may browse certain informational areas of the Site without registering for an account or giving your personal information to us.
  5. Privileges Nontransferable. Each User account on this Site is personal to the individual who created it. Accordingly, you may not assign any rights under your account or these Terms. Any such purported assignment, sublicense, or transfer of your account shall be deemed null and void and may cause your account to be suspended or terminated. Except to the extent forbidden in this paragraph, these Terms will be binding upon and inure to the benefit of the parties’ respective successors and assigns.
  6. Account Suspension; Termination. Phirst Klass Fulfillment Lab expressly reserves the right to terminate or suspend your account if you fail to abide by the terms of these Terms. Furthermore, notwithstanding any provision of these Terms to the contrary, Phirst Klass Fulfillment Lab reserves the right, without notice and in its sole discretion, to terminate your license to access or use certain portions or features of this Site and to block or prevent your future access to, and use of, this Site. The following provisions will survive any termination or suspension of your account: (a) any obligation incurred by you under these Terms before such termination or suspension; and (b) any other provision of these Terms that must survive to fulfill its essential purpose.
  7. Use Restrictions. You shall comply with all applicable governmental laws, regulations, orders, and rules in your use of the Site (“Governmental Laws”). Your continued use of the Site is subject to your compliance with such Governmental Laws. You shall not permit any third party to access or use the Site in violation of any Governmental Laws.
  1. Account Security

You are responsible for maintaining the confidentiality of your account password and restricting access to your account. You agree not to disclose your password to anyone else. You are responsible and liable for any use of the Site through your account, whether authorized or unauthorized. You shall immediately notify Phirst Klass Fulfillment Lab of any unauthorized use or any other breach of security you know about relating to your account. Phirst Klass Fulfillment Lab shall have no liability for any loss or damage arising from your failure to comply with these requirements. 

  1. Confidential Information 

In the course of providing services via this Site, Phirst Klass Fulfillment Lab may deliver to you content, materials, and other information that is confidential or proprietary to Phirst Klass Fulfillment Lab or its licensors or which constitutes a “trade secret” of Phirst Klass Fulfillment Lab or its licensors (“Confidential Information”). You agree that you will protect such Confidential Information from unauthorized disclosure and will use the same degree of care that you use to protect your own confidential information, but in no event less than a reasonable amount of care. You further agree that you will not publish, disseminate, or otherwise disclose such Confidential Information to any third party, and that you will not use Confidential Information to compete with Phirst Klass Fulfillment Lab or in any way detrimental to Phirst Klass Fulfillment Lab. This Section 5 is intended to survive any suspension or termination of your Site account.

Unless otherwise indicated, this Site and all content and other materials therein, including, without limitation, all designs, text, graphics, pictures, information, data, software, sound files, video files (including audiovisual files), and the selection and arrangement thereof (collectively, “Site Materials”) are the proprietary property of Phirst Klass Fulfillment Lab or its licensors and are protected by U.S. and international copyright laws.
  3. Subject to all of the terms and conditions of these Terms, you are granted a limited, revocable, non-sublicensable license to access and use this Site and Site Materials only for the Site’s intended purpose as stated in Section 3c. Such license does not include: (a) any resale or commercial use of this Site or Site Materials; (b) the collection and use of any service listings, pictures, videos, or descriptions; (c) the distribution, public performance, or public display of the Site and any Site Materials; (d) modifying or otherwise making any derivative uses of this Site and the Site Materials, or any portion thereof; (e) use of any data mining, robots, or similar data gathering or extraction methods; (f) downloading (other than the page caching) of any portion of this Site, the Site Materials, or any information contained therein, except as expressly permitted by us. Any use of this Site or Site Materials other than as specifically authorized herein, without the prior written permission of Phirst Klass Fulfillment Lab, is strictly prohibited and will terminate the license granted herein. Such unauthorized use may also violate governmental laws and regulations, including, without limitation, those relating to intellectual property rights, trade, and communications. Except where explicitly stated in these Terms, nothing in these Terms shall be construed as conferring in any manner, whether by implication, estoppel, or otherwise, any title or ownership of, or exclusive use-rights to, any intellectual property or other right and any goodwill associated with the Site or Site Materials.
  4. By posting material on this Site you represent and warrant that you have obtained signed, written permission to post such material from the owners of all rights in such material or that you are the sole owner of such material. Unless otherwise agreed in writing, as between you and Phirst Klass Fulfillment Lab, you shall retain ownership of the copyrights in any original material that you post on this Site to the extent such material may be entitled to copyright protection. You agree to respect the copyrights of other users of this Site and agree not to reproduce, distribute, publicly display, or prepare derivative works based on any material posted at this Site without first obtaining the express permission of the copyright owner to do so. 
  1. Trademarks and Service Marks 

All trademarks, product names, and company names and logos appearing on this Site or in any materials relating to the services or products shown on this Site are the property of their respective owners.

  1. All content and material posted to the Site is subject to approval by Phirst Klass Fulfillment Lab. It is the policy of Phirst Klass Fulfillment Lab to not tolerate any acts of intellectual property infringement or violations of domestic United States or foreign law or to allow any material which is racist, sexist, obscene, harassing, defamatory, or otherwise objectionable, to be posted on this Site.

You agree that Phirst Klass Fulfillment Lab has the right to investigate any complaint received and, at any time and for any reason, with or without cause, to remove any material you post to this Site, with or without your permission, in our sole discretion. By reserving this right, Phirst Klass Fulfillment Lab does not undertake any responsibility in fact to remove content posted online, whether or not a complaint has been received.

  1. Indemnification

You agree to indemnify, defend, and hold harmless Phirst Klass Fulfillment Lab, its owners, officers, directors, agents, and employees from and against any and all claims, demands or liability for personal injury (including injury resulting in death) or damage to property arising out of your breach of these Terms or due to your negligent or willful acts or omissions, including gross negligence and willful misconduct, in using or accessing this Site.

  1. LIMITATION OF LIABILITY

IN NO EVENT WILL PHIRST KLASS FULFILLMENT LAB BE LIABLE FOR LOST PROFITS OR LOSS OF BUSINESS OR FOR ANY CONSEQUENTIAL, INDIRECT, SPECIAL, INCIDENTAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE. THE LIABILITIES LIMITED BY THIS SECTION 12 APPLY TO THE BENEFIT OF PHIRST KLASS FULFILLMENT LAB’S OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND THIRD PARTY CONTRACTORS, AS WELL AS: (a) TO LIABILITY FOR NEGLIGENCE; (b) REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT, STRICT PRODUCT LIABILITY, OR OTHERWISE; (c) EVEN IF PHIRST KLASS FULFILLMENT LAB IS ADVISED IN ADVANCE OF THE POSSIBILITY OF SUCH DAMAGES AND EVEN IF SUCH DAMAGES WERE FORESEEABLE; AND (d) EVEN IF YOUR REMEDIES FAIL OF THEIR ESSENTIAL PURPOSE.

  1. Governing Law; Jurisdiction. These Terms shall be governed solely by the laws of the State of Florida, without reference to any conflicts of laws principle that would apply the substantive laws of another jurisdiction. You irrevocably and unconditionally consent to personal jurisdiction by and exclusive venue in the state and federal courts of Orange County, Florida, and waive any objection to such jurisdiction or venue.
  2. Time to Bring Claims; Dispute Procedure. In the event of any controversy, claim, or dispute between us and you arising out of or in connection with these Terms or your use of the Site, the complaining party shall send a written notice to the other party setting forth the facts of such claim or dispute;  such notice shall be sent to the other party’s address for notices as prescribed herein. Any claim by you arising out of or in connection with these Terms or your use of the Site must be brought within one (1) year after the claim or cause of action accrues, or such claim or cause of action is barred and you shall be deemed to have waived whatever rights you may have had with respect to such claim or cause of action, including all legal and equitable remedies. Claims made under the separate terms and conditions for the purchase of goods or services from Phirst Klass Fulfillment Lab are not subject to this limitation. Upon delivery of notice as provided herein, the parties shall attempt, promptly and in good faith, to resolve any such dispute. If the parties are unable to resolve any such dispute within a reasonable time (not to exceed thirty (30) days after notice of the claim was given), then either party may submit such controversy or dispute to mediation. Such mediation shall be held in Orange County, Florida. If the dispute cannot be resolved through mediation, then the parties shall be free to pursue any right or remedy available to them under applicable law.
  3. WAIVER OF JURY TRIAL. EACH PARTY HEREBY KNOWINGLY, VOLUNTARILY AND INTENTIONALLY WAIVES ANY AND ALL RIGHTS TO A TRIAL BY JURY IN RESPECT TO ANY LITIGATION BASED UPON THESE TERMS, OR ARISING OUT OF, UNDER OR IN CONNECTION WITH THESE TERMS AND ANY AGREEMENT CONTEMPLATED TO BE EXECUTED IN CONJUNCTION HEREWITH, OR ANY COURSE OF CONDUCT, COURSE OF DEALING, STATEMENTS (WHETHER ORAL OR WRITTEN) OR ACTION OF EITHER PARTY. THE WAIVER IN THE PRECEDING SENTENCE APPLIES REGARDLESS OF THE TYPE OF DISPUTE, WHETHER PROCEEDING UNDER CLAIMS OF CONTRACT OR TORT (INCLUDING NEGLIGENCE) OR ANY OTHER THEORY.
  4. WAIVER OF CLASS ACTIONS. NEITHER PARTY SHALL BRING OR PARTICIPATE IN ANY CLASS ACTION OR OTHER SIMILAR REPRESENTATIVE PROCEEDING ARISING OUT OF OR RELATED TO THESE TERMS, WHETHER PROCEEDING UNDER CONTRACT OR TORT (INCLUDING NEGLIGENCE) OR ANY OTHER THEORY, AND THE FOREGOING RESTRICTION INCLUDES, WITHOUT LIMITATION, COUNTERCLAIMS, CLAIMS RELATED TO THE PARTIES’ NEGOTIATIONS AND INDUCEMENTS TO ENTER INTO THESE TERMS, AND OTHER CHALLENGES TO THE VALIDITY OR ENFORCEABILITY OF THESE TERMS. THE PROCEEDINGS EXCLUDED ABOVE IN THIS SECTION 19(d) INCLUDE, WITHOUT LIMITATION, CLASS-WIDE ARBITRATION AND PRIVATE ATTORNEY-GENERAL ACTIONS.
  5. The provisions of this Section 19 shall survive any termination or expiration of these Terms.

 

  1. Miscellaneous

 

  1. Severability

The provisions of these Terms are intended to be severable. If for any reason any provision of these Terms is held invalid or unenforceable in whole or in part, such provision shall be ineffective to the extent of such invalidity or unenforceability without in any manner affecting the validity or enforceability of the other provisions of these Terms. Any invalid or unenforceable portion should be construed as narrowly as possible in order to give effect to as much of these Terms as possible.

  1. No Waiver

The failure of Phirst Klass Fulfillment Lab to enforce any right or provision in these Terms shall not constitute a waiver of such right or provision unless expressly acknowledged and agreed to by an authorized representative of Phirst Klass Fulfillment Lab in writing.

  1. Independent Contractors

Each party shall be regarded as an independent contractor for all purposes and shall represent such status to third parties.

  1. Assignment

We may assign our agreement with you to any affiliated company or to any entity that succeeds to all or substantially all of our business or assets.

  1. Interpretation

The captions and headings of these Terms are for convenience only and do not in any way limit or amplify the provisions of these Terms. These Terms shall govern and control in the case of any inconsistency between it and any other document or communication issued by either party, and any other written agreement between the parties, except where otherwise expressly stated therein.

  1. Remedies

Any and all rights, remedies, and options given in these Terms to Phirst Klass Fulfillment Lab shall be cumulative and in addition to and without waiver of, or in derogation of, any right or remedy given to it under these Terms or any law now or hereafter in effect.

  1. Notices

We may give notice to you by means of posting a general notice on this Site or by emailing the email address on record in your account. Notices to Phirst Klass Fulfillment Lab pursuant to these Terms shall be sent via email to: contactinfo@phirstklassfl.com. You agree that any notices, agreements, disclosures or other communications that we send to you electronically will satisfy any legal communication requirements, including that such communications be in writing.

  1. Changes to Terms of Use

We may change these Terms from time to time. Such revisions shall be effective immediately; provided however, for existing registered users, such revisions shall, unless otherwise stated, be effective 30 days after posting.

II. Information We Collect

We may collect information directly from you on the site and automatically through your use of the Site. We collect two basic types of information: personal information and non-personal information.

Registration is required for you to access and interact with content on our Site. You may browse the informational areas of the Site without giving your personal information to us. You are under no obligation to provide us with personal information; however, your refusal to do so may prevent you from being able to utilize certain features of the Site.

As used in this Privacy Policy:

a. The term “personal information” means information that directly or indirectly identifies a particular visitor (such as a visitor’s name, address, email address, and telephone number) and also includes any non-personal information that, with the aid of additional information, can identify a particular visitor.

b. The term “non-personal information” means information that, without the aid of additional information, cannot be directly associated with a particular visitor.
